INDEXTAR.COM TERMS OF USE

1. ACCEPTANCE OF TERMS

Indextar LLC provides a collection of online resources, including company listings, reviews and email services, (referred to hereafter as "the Service"), subject to the following Terms of Use ("Terms"). By using, accessing or registering as a member of the indextar.com, you agree to comply with these Terms. Should you not agree with the Terms, you may not use the indextar.com Service.

Indextar LLC can amend these Terms either by emailing the user about the amended Terms, which will take effect when the email is sent, or by posting the amended terms on the indextar.com website, which take effect when the amended terms are posted. The user must review this agreement on a regular basis to keep apprised of any changes.

2. CONTENT

The user understands that all postings, company listings, reviews, messages, text, files, images, photos, video, sounds, or other materials ("Contents") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated.

Indextar LLC does not warrant that company descriptions and reviews or any other content of the Indextar.com website, regardless of its source, is accurate, complete, reliable, current or error-free. Indextar.com content is provided for informational purposes only and does not constitute an endorsement by Indextar LLC of any product, company or service. You should not rely on such information in situations where its inaccuracy would cause you to suffer any loss (see Disclaimer of Warranties and Liability Limits below). Indextar.com assumes no liability for inaccuracy or incompleteness in its search results, editorial content, company ratings or other content on the Indextar.com website.

The user acknowledges that Indextar.com does not pre-screen or approve Content, but that Indextar LLC shall have the right, but not the obligation, in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of the Terms or for any other reason.

Consumer reviews and ratings on the Indextar.com website are submitted by our members who have elected to post a review on the Indextar.com. As such, these reviews and ratings are informative for those wishing to use them, but they do not guarantee any level of performance by a company or other third party in any given transaction.

Participating companies and other third parties may pay Indextar LLC to be presented on the Indextar.com website, but in no event do such payments affect the reviews or ratings given to any company by participating members.

3. CONTENT SUBMISSION

By contributing or submitting any content to the Indextar.com, the user states that he or she is the author and owner of the intellectual property rights thereto, and grants Indextar LLC a worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such materials and/or incorporate such materials into any form, medium or technology without compensation to the author.

The user agrees that he or she shall not post any information:

• that is known to be false, inaccurate or misleading;
• that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
• that violates any law, statute, ordinance or regulation;
• that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
• for which the user were compensated or granted any consideration by any third party;
• that includes any information that references addresses, email addresses, contact information or phone numbers; or that contains any computer viruses, worms or other potentially damaging computer programs or files.

4. DISCLAIMER OF WARRANTIES

THE USER AGREES THAT USE OF THE INDEXTAR.COM SITE AND THE SERVICE IS ENTIRELY AT HIS OR HER OWN RISK. INDEXTAR.COM AND ITS SERVICES ARE PROVIDED "AS IS", WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT.

5. LIABILITY LIMITS

INDEXTAR LLC SHALL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH INDEXTAR.COM, OUR SERVICES OR THIS AGREEMENT EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. CHOICE OF LAW/VENUE

These Terms of Service will be governed by and construed in accordance with the laws of the State of Nevada, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.

These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by Indextar LLC.
